01Agreement to These Terms
These Terms of Service govern your access to and use of PortView, including the PortView website, app, dashboard, trading tools, portfolio views, analytics, data feeds, alerts, simulations, charts, order interfaces, subscriptions, and related content and services (collectively, the “Service”). By accessing, browsing, connecting a wallet or identity, clicking to accept, subscribing, or using any part of the Service, you agree to be bound by these Terms and by any additional terms or policies incorporated by reference, including the Privacy Policy.
If you do not agree, do not use the Service. If you use the Service on behalf of a company, fund, DAO, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
02Eligibility and Compliance
You must be legally able to enter into a binding agreement and comply with all laws, rules, and regulations that apply to you. You may not use the Service if you are prohibited from doing so under applicable sanctions, export controls, trading restrictions, or other legal requirements.
- You are solely responsible for determining whether your use of PortView is lawful in your jurisdiction.
- You are solely responsible for any tax, reporting, licensing, registration, or compliance obligations arising from your activity.
- You represent that the assets, wallets, funds, and credentials you use are not the proceeds of crime and are not used for unlawful conduct.
03Nature of the Service; No Fiduciary Role
PortView is a software interface and analytics product for viewing portfolio information, market data, and blockchain-related trading functionality. PortView is not a bank, broker, dealer, exchange, futures commission merchant, investment adviser, tax adviser, legal adviser, custodian, escrow agent, transfer agent, money transmitter, financial planner, or fiduciary. PortView does not provide personalized investment advice, recommendations, endorsements, or suitability determinations.
Any market data, trade simulations, order-book views, P&L outputs, warnings, commentary, rankings, or labels are informational only. They are not offers, solicitations, research reports, financial advice, legal advice, tax advice, or guarantees of outcome. You make all trading and investment decisions at your own risk.
04Wallets, Identity, and Authorizations
To use certain features, you may connect or authenticate through third-party blockchain or identity tools, including DeSo Identity or similar systems. You are solely responsible for safeguarding your devices, wallets, public keys, seed phrases, passwords, passkeys, private keys, browser storage, approvals, and any derived-key or delegated permissions you grant.
By using connected-wallet or trading features, you authorize PortView to transmit your requested instructions to the relevant third-party systems as needed to facilitate the experience you initiate. PortView does not take custody of your private keys or digital assets unless PortView expressly says otherwise in a separate written agreement. You understand that blockchain transactions may be irreversible, publicly visible, delayed, censored, rejected, reordered, front-run, sandwiched, or executed at prices different from expected.
- You are responsible for reviewing all wallet prompts, approvals, and permissions before accepting them.
- You are responsible for revoking permissions you no longer want to grant.
- PortView is not responsible for losses caused by compromised devices, leaked credentials, malicious browser extensions, phishing, man-in-the-middle attacks, SIM swaps, malware, social engineering, or user error.
05Orders, Trades, Estimates, and Execution Risk
Trade previews, order simulations, estimated proceeds, displayed balances, profit-and-loss calculations, liquidity snapshots, best bid or ask figures, slippage estimates, and any similar metrics are estimates only. They may be stale, incomplete, delayed, inaccurate, or based on assumptions that do not hold at execution time.
PortView does not guarantee that an order will execute, settle, clear, fill completely, fill at a displayed price, remain cancellable, or produce any expected result. Market conditions can change between the time you view data and the time the relevant network, protocol, block producer, node, relayer, or other third-party service processes your action.
- You assume all risk of slippage, spread changes, stale quotes, partial fills, failed fills, failed cancellations, incorrect sizing, volatile pricing, illiquidity, and smart contract or protocol errors.
- You assume all risk of using limit, market, simulated, or other order types available through the Service.
- You understand that some outputs may depend on third-party APIs, nodes, graph services, indexers, or market data sources that may fail or disagree.
06No Warranty; Service Provided "As Is"
THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTVIEW DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
Without limiting the foregoing, PortView does not warrant that the Service will be uninterrupted, timely, secure, error-free, loss-free, compatible with your devices, free of harmful code, or accurate; that defects will be corrected; or that the Service or any data will remain available. PortView may suspend, modify, disable, rate-limit, geo-block, or discontinue any feature at any time, with or without notice.
07User Conduct and Prohibited Activity
You may not use the Service in a way that is unlawful, fraudulent, deceptive, abusive, harmful to others, technically disruptive, or inconsistent with these Terms. Without limitation, you may not:
- use the Service to violate securities, commodities, consumer-protection, sanctions, anti-money-laundering, anti-fraud, market-manipulation, or privacy laws;
- interfere with, probe, scan, reverse engineer, scrape at scale, benchmark without permission, bypass access controls, overload, or disrupt the Service or its providers;
- use bots or automation in a way that degrades the Service or bypasses posted limits;
- impersonate another person or entity, misrepresent your affiliation, or submit false information;
- upload, transmit, or facilitate malware, spyware, ransomware, viruses, or other harmful code;
- use the Service to exploit minors, harass others, infringe intellectual property, or commit fraud, theft, or market abuse;
- attempt to use the Service to avoid fees, obtain unauthorized access, or exploit bugs, race conditions, pricing errors, or unintended behavior.
PortView may investigate suspected misconduct and may suspend or terminate access, block requests, preserve evidence, or cooperate with law enforcement or regulators where PortView believes it is appropriate or required.
08Subscriptions, Paid Features, and Billing
Some parts of the Service may require payment now or in the future. Pricing, billing intervals, included features, trial terms, promotion terms, and refund policies may be described in the Service or at checkout. Unless PortView expressly states otherwise, fees are non-refundable, including for partial periods, unused time, dissatisfaction, feature changes, outages, or suspension resulting from your breach.
You authorize PortView and its payment processors to charge the payment method you provide for all amounts due, including recurring amounts where applicable, plus taxes and transaction costs. You are responsible for keeping billing information current. PortView may change pricing or features prospectively. Continued use of a paid subscription after a price change becomes effective constitutes acceptance of the new price.
- PortView may correct pricing errors, cancel mistaken offers, and refuse or reverse transactions to the extent permitted by law.
- Failure to pay may result in downgrade, suspension, or termination of paid access.
09Intellectual Property and License
As between you and PortView, PortView and its licensors own the Service, including software, visual design, text, graphics, compilations, analytics arrangements, documentation, trademarks, logos, service marks, and all related intellectual-property rights, except for third-party content and your own content. Subject to these Terms, PortView grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for its intended purpose.
You may not copy, sell, resell, license, distribute, publish, publicly display, modify, create derivative works from, decompile, or exploit the Service except as expressly allowed by applicable law or PortView in writing. Any feedback, suggestions, or ideas you provide may be used by PortView without restriction or compensation.
10Third-Party Services and External Content
The Service may rely on or link to third-party sites, wallets, identity providers, payment processors, blockchain nodes, APIs, data feeds, indexers, explorers, and social or trading infrastructure. PortView does not control and is not responsible for third-party services, their uptime, security, policies, content, fees, or actions. Your use of third-party services is governed by their own terms and policies.
PortView is not liable for any loss arising from blockchain forks, chain reorganizations, validator or node behavior, congestion, mempool events, outages, oracle errors, API failures, smart-contract vulnerabilities, stablecoin failures, exchange failures, rug pulls, governance attacks, token economics, or actions by third parties.
11Assumption of Risk
Digital assets, blockchain applications, decentralized trading systems, and thinly traded tokens are inherently risky. Prices may be extremely volatile. Liquidity may disappear. Smart contracts and blockchain infrastructure can fail. There may be no recourse if an asset loses value or becomes untradeable. Public blockchain activity may reveal information about you or your strategies. You knowingly and voluntarily assume all risks associated with the Service and any assets, transactions, or strategies you pursue.
12Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTVIEW AND ITS OWNERS, OPERATORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, AND PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OPPORTUNITY, GOODWILL, DATA, TOKENS, DIGITAL ASSETS, TRADING POSITIONS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PORTVIEW FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PORTVIEW FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
13Indemnification
You will defend, indemnify, and hold harmless PortView and its owners, operators, affiliates, licensors, service providers, and personnel from and against any claims, demands, actions, investigations, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your assets or transactions, your violation of these Terms, your violation of law, your content, or your infringement or violation of any rights of another person or entity.
14Suspension and Termination
PortView may suspend or terminate your access at any time, with or without notice, if PortView believes you breached these Terms, pose risk, create legal exposure, abuse the Service, or if PortView decides to discontinue the Service or any feature. Termination does not limit any other rights or remedies PortView may have. Sections that by their nature should survive termination survive, including ownership, disclaimers, limitations of liability, indemnity, dispute terms, and general provisions.
15Privacy, Monitoring, and Records
Your use of the Service is also governed by the PortView Privacy Policy. PortView may collect, use, disclose, preserve, and analyze information as described in that policy and as reasonably necessary to protect the Service, investigate misuse, comply with law, enforce these Terms, and improve the product. PortView may maintain logs and records and may preserve information as required or appropriate in connection with legal, security, or operational matters.
16Changes to the Service or Terms
PortView may modify the Service or these Terms at any time. Updated Terms become effective when posted or when otherwise communicated, unless a later date is specified. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree to an update, stop using the Service.
17Governing Law; Disputes
To the fullest extent permitted by law, these Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the jurisdiction in which the PortView operator is established, without regard to conflict-of-laws rules. To the fullest extent permitted by law, you and PortView submit to the exclusive jurisdiction of the courts serving that location for any dispute not required to be resolved elsewhere by applicable law.
Nothing in these Terms limits PortView's right to seek injunctive or equitable relief in any competent court to protect intellectual property, confidential information, service integrity, or security.
18General Provisions
These Terms are the entire agreement between you and PortView regarding the Service, except for any separate written agreement between you and PortView. If any provision is held unenforceable, the remaining provisions remain in effect to the fullest extent possible. PortView's failure to enforce a provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without PortView's prior written consent. PortView may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
Notices may be given through the Service, by posting, or by any contact method associated with your account or payment information, where applicable. Electronic records and communications satisfy any legal requirement that communications be in writing to the extent allowed by law.
